Forma — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and A.V. GARCIAN CAPITAL LLC ("Forma," "we," "us," or "our") governing your use of the Forma mobile application and related services (the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use Forma. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.
2. Your account
You are responsible for your account, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at support@forma.hair if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. The Service and license
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use Forma for your own non-commercial use. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as permitted by law.
Forma provides hair analysis, style recommendations, try-on/comparison tools, and haircut specifications. Features, content, and availability may change over time.
4. Subscriptions, billing, and cancellation
Forma offers a free tier and paid subscriptions ("Forma Pro").
- Purchases. Paid subscriptions are sold and billed through the Apple App Store under its payment terms. Prices, features, and billing periods are shown at the point of purchase.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the period ends. Your account will be charged for renewal within 24 hours prior to the end of the current period.
- Free trials. If a free trial is offered, any unused portion is forfeited when you purchase a subscription, and the subscription begins (and billing starts) at the end of the trial unless you cancel beforehand.
- Managing and cancelling. Manage or cancel your subscription in your App Store account settings. Deleting the app does not cancel a subscription.
- Refunds. Payments are generally non-refundable except where required by law or by Apple's applicable policies. Refund requests for App Store purchases must be made through Apple.
- Price changes. We may change subscription prices; changes apply to the next billing period after reasonable notice, as required by the App Store and applicable law.
5. Your content and the photos you upload
- Ownership. You retain ownership of the photos and other content you submit ("User Content").
- License to us. You grant us a limited, worldwide, royalty-free license to host, store, process, and analyze your User Content solely to provide the Service to you (for example, to analyze your hair and generate recommendations). This license ends when your content is deleted, except for copies retained as required by law or for backups for a limited period. We do not use your photos to train third-party models or for advertising.
- Your responsibilities. You represent that you have the right to submit your User Content, that it depicts you or someone who has consented, and that it does not infringe others' rights or contain unlawful content.
- Removal. You can delete your photos and account in-app. We may remove content that violates these Terms.
6. Recommendations are guidance, not guarantees
Forma's scores, analyses, recommendations, and haircut specifications are AI-assisted suggestions for cosmetic and informational purposes only. They are not professional, medical, dermatological, or trichological advice. Results depend on factors outside our control — including your hair, the barber or stylist who performs the cut, and how the specifications are interpreted — and we do not guarantee any particular outcome, appearance, or satisfaction. Always use your own judgment and consult a qualified professional for any scalp, skin, or health concern. Your relationship with any barber or stylist is solely between you and them.
7. Acceptable use
You agree not to:
- upload content you don't have the right to use, or images of other people without their consent;
- upload unlawful, harmful, harassing, hateful, sexual, or infringing content, or images of minors;
- misuse, disrupt, overload, probe, or attempt to gain unauthorized access to the Service;
- use bots, scraping, or automated means except as expressly permitted;
- reverse-engineer or attempt to extract source code or underlying models; or
- use the Service to build a competing product or to violate any law.
8. Intellectual property
The Service, including its software, models, design, text, graphics, and the Forma name and logos, is owned by A.V. GARCIAN CAPITAL LLC or its licensors and is protected by intellectual-property laws. Except for the license in Section 3, no rights are granted to you.
9. Feedback
If you send us ideas or feedback, you grant us a perpetual, royalty-free license to use it without obligation or compensation to you.
10. Third-party services
The Service relies on and may link to third-party services (app stores, cloud and AI providers, payment processors, and others). Your use of those services is subject to their terms, and we are not responsible for them.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECOMMENDATIONS WILL MEET YOUR EXPECTATIONS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A.V. GARCIAN CAPITAL LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless A.V. GARCIAN CAPITAL LLC and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or the rights of others.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive (including content licenses you've granted, disclaimers, limitations of liability, and dispute resolution) will survive termination.
15. Changes to these Terms
We may update these Terms. If changes are material, we will provide reasonable notice (in-app or by email) and update the "Last updated" date. Continued use after the changes take effect means you accept the updated Terms.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. The state and federal courts located in Pinellas County, Florida will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.
Nothing here prevents either party from seeking injunctive relief, or you from contacting a consumer-protection authority. EU/UK consumers retain mandatory local-law rights and access to the EU ODR platform where applicable.
17. Apple App Store additional terms
If you download Forma from the Apple App Store, the following apply: these Terms are between you and A.V. GARCIAN CAPITAL LLC only, not Apple; Apple has no obligation to provide maintenance or support; in case of any failure of the app to conform to a warranty, you may notify Apple for a refund of the purchase price (Apple has no other warranty obligation); A.V. GARCIAN CAPITAL LLC (not Apple) is responsible for product and third-party claims, including IP claims; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You also agree to comply with applicable third-party and export-control terms.
18. Miscellaneous
These Terms (with the Privacy Policy) are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale.
